In particular, weconsider a fund sponsor’s ability to waive fiduciary duties and to engage incertain types of conflicts of interest transactions, and the protections thatinvestors may seek to reduce these conflicts of interest. We also considerother types of investor protections, such as, without limitation, exit rights,transfer rights, LP default, bridge financing, advisory boards, investmentrestrictions, excuse and exclusion, coinvestments, AIVs and parallel funds, andreporting.
